This page explains the terms for an Organization Memoir, a commissioned book about an organization's history.
These terms are separate from the terms covering our individual programs. If you are an organization considering this work, this is the agreement that applies, and it is signed before any work begins.

Throughout this page, "we" and "us" mean Life-Changing Wisdom Marketplace LLC. "You" means the organization commissioning the book.
You are commissioning a book. We research it, gather it, and write it. Your people sit for interviews and give us access to what exists on paper. We do the writing.
This is different from our other programs, where a client writes their own book. Here, the work is ours to do.
Discovery comes first. Every engagement begins with a paid discovery step of four to six weeks. During discovery we speak with a few people, look at what survives in your records, and determine what the book actually is.
At the end of discovery you receive a written proposal: the scope of the book, the timeline, and the price.
The discovery fee is $5,000. If discovery requires travel, that is quoted separately and approved by you before it is booked. If you proceed to the full engagement, the discovery fee is credited against the project price.
If you do not proceed, discovery ends there. You keep the written proposal and the assessment. We keep the materials we gathered, and nothing further is owed by either side.
Four things: how much of the organization's life the book covers, how difficult the material is to reach, how many people have to sign off on what gets written, and how much travel the work requires.
Projects begin at $35,000 for a book covering a defined period of an organization's history. A full history of a large or long-established organization, with people in several places and a formal review process, runs higher.
The price is stated in the proposal you receive after discovery. It does not change unless the scope changes. If you ask for work beyond the agreed scope, we tell you what it costs before we do it.
Travel is billed separately, at cost. We estimate it in your proposal, and we get your approval before booking anything. We do not mark it up. This keeps the work honest: the trips that make a book good should not be the trips we are trying to avoid.
The discovery fee is paid in full before discovery begins.
The project price is paid in three parts: forty percent at signing, thirty percent when we deliver the manuscript for your review, and thirty percent before publication.
The schedule is front-loaded because the work is. Interviews, travel, and research happen in the first half of a project, and that is when the costs land.
Invoices are paid by wire transfer to the account named on the invoice. For the discovery fee we can also accept payment by card if you prefer.
Invoices are due within thirty days.
Before your first wire, we confirm our bank details with you by phone. Please do not rely on bank details sent by email alone, from us or from anyone. Wire fraud aimed at invoices is common, and one phone call prevents it.
If a payment is more than thirty days late, we may pause the work until it is current. We tell you before we do that.
For this to work, we need:
If access is delayed, the timeline moves accordingly. We tell you when that happens and what it means for your date.
We interview people who work at your organization, people who once did, and others whose accounts matter to the book.
Interviews are recorded as audio. Before each one, we tell the person what it is for, that it is being recorded, and where their words may appear. We say it at the start of the session, on the recording. Each person signs a release.
Anyone may decline the interview, ask that something stay off the record, or withdraw consent before the book is published. If someone declines or withdraws, we work around it. We do not use a person's words without their consent.
Filmed conversations are separate. Some interviews may also be recorded on video for use beyond the book, including our podcast and other channels. That is a different permission from the audio interview, asked separately and agreed to in advance. A person may say yes to the interview and no to the camera, and that is a complete answer.
We obtain these releases directly. You are not responsible for gathering them.
We verify what goes in the book. Claims are checked against records. When accounts conflict, we reconcile them before writing.
You review the manuscript before publication. In that review you may:
You may not require removal of accurate material because it is unflattering.
This matters, and it is worth saying plainly. A history that removes the hard years is a brochure, and readers know the difference. The near-failure, the difficult decision, the year it almost ended: those are what make the book worth reading. We handle them with care. We do not pretend they did not happen.
If we cannot agree on a passage, either of us may end the engagement under Section 12.
You own the book. The finished manuscript, the text, and the organization's story are yours. You may reprint it, distribute it, adapt it, and use it however you choose, without further payment to us.
We keep three things:
First, the right to publish and sell your book on the Life-Changing Wisdom Marketplace and through the distribution channels we connect to it, so the book reaches readers beyond your organization.
Second, the right to name your organization as a client and to show the finished book as an example of our work.
Third, our own methods, frameworks, and working materials. Research notes, interview recordings, and working drafts remain ours as the record behind the book, subject to Section 9.
Your existing materials stay yours. Photographs, documents, logos, and archives you provide remain your property. You grant us permission to use them in the book.
In the course of this work we learn things about your organization that are not public.
We keep them confidential. We use them for the book and for nothing else. We do not disclose them outside our team, and everyone on our team is bound by the same obligation.
This continues after the engagement ends.
If you require a separate non-disclosure agreement, we will sign one.
Unless the proposal states otherwise, your book is published and made available for sale on the Life-Changing Wisdom Marketplace, printed on demand so copies are made as they are ordered.
We also work to place the book in the distribution channels available to us, so it can reach readers beyond your own audience. We do not guarantee acceptance by any particular retailer or channel.
You receive the print-ready files. You may print copies elsewhere for your own use at any time.
We do not promise that the book will sell a particular number of copies, receive coverage, win recognition, or reach a particular audience.
We do not promise that every person we approach will agree to be interviewed, or that every record will be found.
What we promise is the work: the gathering, the verification, and the writing, delivered to the scope and the date in your proposal.
Either of us may end the engagement with written notice.
If you end it: you pay for work completed to that point, including travel already booked or taken. Amounts already paid are not returned, since the work they covered has been done. You receive the materials produced so far, including the manuscript in whatever state it exists.
If we end it: we return any portion of a payment covering work not yet performed. Where that refund is sent by wire, we return it minus the cost our bank charges to send it, and we tell you that amount before we process it. You receive the materials produced so far.
Sections that survive: ownership, confidentiality, the interviewee protections in Section 6, and limitation of liability.
To the fullest extent allowed by law, our total liability under this agreement will not exceed the amount you have paid us under it.
Neither of us is liable to the other for indirect or consequential losses, including lost profits or lost business, even if warned they were possible.
You will indemnify us against claims arising from materials you provide to us, from your instructions about what the book should contain, and from your use of the finished book.
We will indemnify you against claims that our writing infringes a third party's copyright.
Contact us first. Most problems resolve in a conversation.
If we cannot resolve it, a dispute goes to the state or federal courts in Connecticut, and both of us consent to their jurisdiction.
Connecticut law governs this agreement.
We may update this page. When we do, we change the "Last Updated" date at the top. The terms that apply to your engagement are the ones in effect when you sign, together with the proposal issued after discovery.
